Key Responsibilities

  • Overseeing a segment of the commercial legal team and playing a pivotal role in the leadership of a developing legal department.
  • Managing the commercial contracting workflow, which includes agreements with clients, partners (such as channel, integration, and installation), and suppliers (including outsourcing and consulting contracts).
  • Establishing systems and processes to improve the scalability and efficiency of the Company's commercial legal operations.
  • Providing assistance on intricate, cross-departmental projects and conducting ad hoc analyses for various stakeholder groups.
  • Acting as a trusted advisor to teams including Procurement, Finance, Sales, Marketing, Human Resources, Product Development, Technology, and Information Security.
  • Creating, drafting, revising, administering, and interpreting compliance policies, procedures, and programs.
  • Utilizing sound legal and business judgment to offer recommendations and resolve legal and business challenges, often under tight deadlines.
  • Coordinating with regulatory bodies and government agencies as necessary.
  • Engaging and empowering colleagues and stakeholders through training and thought leadership initiatives.
  • Assisting in the management of external legal counsel engagements.
  • Participating in special projects as assigned.
  • Supporting special requests from the executive leadership team.

Qualifications

  • A minimum of 5 years of experience in a law firm and/or as in-house counsel, preferably within a software-as-a-service context.
  • Extensive experience in drafting, reviewing, and negotiating various contracts, particularly technology agreements (including channel and integration partnership agreements, outsourcing contracts, and software licensing agreements).
  • Proven leadership skills with experience in managing legal teams.
  • Innovative problem-solving abilities and a creative approach to managing an in-house legal department.
  • Comprehensive commercial and corporate transactional experience in a fast-paced, ideally international, setting.
  • Professional-level proficiency in English, particularly in legal writing.
  • Familiarity with GDPR, CCPA, cybersecurity issues, PCI compliance, and the payment card industry.
  • Comfortable engaging with colleagues and stakeholders across various levels and professional backgrounds.
