We have a position available within our dynamic and growing firm for a Corporate Records Assistant. Initially, this role will have a strong focus on maintenance of several hundred corporations, but room for advancement and training is available.

Responsibilities of this role include:

- Maintaining corporate minute books for several hundred corporations, including:

- Communications with clients and accounting firms.
- Operating Fast Company software.
- Drafting resolutions based on accountant instructions and assembling for client signing, including by electronic signature.
- Preparing dividends (eligible and ineligible) and bonus resolutions.
- Preparing audit inquiry responses.
- Drafting and filing business name registrations and renewals.
- Updating corporate lists with new companies received and maintaining corporate records with respect to addresses, directors, shareholders, officers etc.
- Completing and filing Form 1 Notices of Change with Ministry when addresses, directors or officers change.
- Preparing annual returns.
- Following-up on documents sent to client that have not been returned.
- Creating lists of fiscal year ends, determining completed year and corresponding with accountant for financial statement information.
- Co-ordinating and collecting information from agents in other provinces for extra provincial registrations.
- Performing general administrative support related to files including opening files, preparation of accounts and client billings, reporting on matters, processing payments, calendar maintenance and maintaining an active filing system (paper and electronic).
- Meeting with and interacting with clients and referral sources, placing a high value on client service and relationship building.

The ability to complete corporate reorganizations and restructurings is an asset, but not required. This includes drafting rollover and exchange agreements, security documents, share transfer documents, promissory notes and corporate resolutions.
- Managing ongoing corporate maintenance including incorporations, amalgamations, continuances, amendments and dissolutions.
- An understanding of or ability to complete commercial financing transactions would be an asset.
