We are looking for a confident, proactive corporate fox that can manage a high volume of work with tight turnaround times. If you have experience with and enjoy working on complex corporate legal transactions, we would like to hear from you.

**What you will be doing**:

- Preparation of documents and related filings with respect to incorporations, amendments, dissolutions, revivals, wind-ups, continuances, etc.
- Preparation of transactional documents related to share/asset purchase and sales, financing, rollovers, etc.
- Preparation of routine/annual documents such as resolutions, minutes, redemptions, dividends, etc.
- Conduct basic and complex minute book reviews, preparation of deficiency reports, and rectification of said deficiencies.
- Conduct corporate and security searches and attend to registrations and filings.
- Organize, maintain, and update corporate files, records, and returns.
- Track key renewal, expiry, and other important dates and deadlines.
- Liaise with clients, lawyers, and external parties as required.

**What we need you to bring to the position**:

- Minimum of five (5) years’ experience gained as a Corporate Law Clerk in a similar role.
- Completion of a post-secondary Legal Assistant or Law Clerk program.
- Knowledge of applicable corporate statutes and regulations, including OBCA, CBCA, LPA, etc.
- Proficient in utilizing relevant legal software and technology, such as Athennian, Fast Company, CorpLink, MinuteBox, etc.

**Salary**: $90,000.00-$110,000.00 per year
