**Primary Tasks/Responsibilities**
- Progressively learn and assist in all aspects of banking and financing transactions including:

- assisting with corporate and lien searches, reviewing results and assisting with addressing any needed estoppels or discharges and drafting schedules with results;
- utilizing precedents or agreed forms to draft joinder documentation, including guarantees and security documents, officer’s certificates, resolutions, and other banking documentation;
- identifying and solving various transaction related issues and document findings;
- drafting, reviewing and revising letters, memos and various documents; and
- ongoing file and closing record maintenance.

**Knowledge/Experience Required**
- Diploma from a recognized Ontario Law Clerk program certified with the Institute of Law Clerks of Ontario, and a member in good standing with the Institute of Law Clerks of Ontario
- At least 2 - 5 years of corporate law clerk experience working on a variety of complex corporate transactional matters
- Good working and practical knowledge of laws/legislation relevant to banking practice including PPSA and OBCA, CBCA, LPA, BNA and CIA
- Technical proficiency using the entire MS Office Suite
- University degree would be an asset
