Client Profile

Duties and Responsibilities:
- Work closely with the firm’s Debt Product’s group, and under the supervision and
direction of the Partners,
- Responsible for assisting with the preparation and management of documentation including debt financing arrangements for both lenders and borrowers, bankruptcies, and insolvencies.
- Draft various documentation including discharges, estoppel letters, payout letters, acknowledgments, officer’s certificates, resolutions, security documentation and related ancillary documentation and obtaining same from third parties;
- Negotiate insurance documentation and provide instructions to brokers Attend to pre-closing, closing and post-closing activities including preparation of closing agendas, management of documents for final execution upon closing, running closing rooms, managing post-closing items, and completion of record books;
- Liaise with lawyers, clients, local counsel, extra-provincial agents, third party service providers and the Ministry as required;
- Use Closing Folders software to manage the status of each transaction, including setting up the matter, due diligence, tracking the delivery of documents, and updating the closing agenda Order, analyze and summarize initial and closing corporate, intellectual property and security searches in all Provinces and Territories in Canada and in numerous States in America both during the due diligence stage and post-registration;
- Determine which additional searches are required; track what searches have been delivered
- Obtain any necessary certificates of status/compliance certificates/certificates of good standing;
- Review corporate documentation including incorporation documents, bylaws, authorizing resolutions and incumbency certificates;
- Communicate with the United States Patent and Trademark Offices and the Canadian Intellectual Property Office to ensure security interests in intellectual property are registered or released;
- Draft and file financing statements under the Personal Property Security Act (Ontario and other Provinces), including amendments/renewals and file Bank Act security filings including new registrations, discharges, renewals and amendments;
- Prepare signature page packages, arrange for execution of documents, and confirm that all documents have been executed correctly;
- Assist team with closing transactions Perform a variety of routine legal and administrative duties under the supervision of the Partners
- Use relevant information and individual judgment to determine whether events or processes comply with laws, regulations, or standards;
- Provide mentorship and training to more junior team members; as needed.
- Other duties as assigned.

Requirements:
- 10+ years of experience as a Law Clerk working in a law firm;
- Law Clerk diploma from an accredited institution;
- Thorough knowledge of legal procedures, statutes, and regulations applicable to commercial and corporate law, particularly the Ontario Personal Property Security Act and the Bank Act;
- Strong proficiency with MS Office Suite;
- Demonstrative analytical skills, good judgment, and a and high attention to detail;
- Excellent interpersonal, organizational, and communication skills (written and verbal);
- Ability to maintain strict confidentiality with high ethical standards; and
- Capable of working well in a team as well as independently when required.
