**Department/Unit Description**:
The Faculty of Health Sciences’ (FHS) Health Research Services (HRS) team provides leadership, counsel, and fundamental services to the health research community. These efforts help ensure the eligibility of McMaster’s research community as a whole to obtain health research funding from Federal and Provincial governments and other funding agencies and sponsors by ensuring compliance with internal and external regulation and policies particularly in terms of human and animal research ethics, biohazard and environmental regulation. The result is a maximal share of available project and program funding for McMaster’s health researchers.

**Job Summary**:
The Agreements Officer is responsible for drafting, negotiating, and finalizing agreements for final approval between the University, affiliated hospitals, collaborating institutions and external funding sources while ensuring compliance with all appropriate University, funding sponsor and government policies and regulations.

**Purpose and Key Functions**:

- Draft and negotiate complex funding agreements for final approval and execution by authorized University officials ensuring compliance with all appropriate University, funding sponsor, and government policies and regulations.
- Write legal documents including, but not limited to, grants, contracts, non-disclosure agreements, inter-institutional agreements, collaborative agreements, educational services contracts, and other occasional agreements.
- Advise and assist faculty members with the preparation of budgets where agreements will subsequently be required.
- Ensure that budgets are adequate for the activities proposed and the appropriate indirect costs are applied to the budgets where required.
- Write opinions regarding the advisability of execution of legal agreements for review by internal clients including faculty members and senior administration.
- Explain and defend University policies in an effort to facilitate agreements between internal and external clients and collaborators.
- Plan and coordinate meetings with internal and external clients for the purpose of negotiating agreements and contracts.
- Negotiate all liability and indemnification clauses in contracts.
- Inform internal clients of their contractual rights, responsibilities, and obligations under agreements in which they are participating with a focus on ownership of intellectual property, ability to publish research results, insurance protection, indemnification and deliverables.
- Seek the advice of colleagues with regards to matters such as intellectual property and commercialization language that may be required in agreements.
- Advise academic administration and executives regarding proper insurance protection against liabilities.
- Interpret complex insurance and indemnification policies and international laws and treaties.
- Analyze scientific explanations of research projects and their accompanying contracts in order to identify and address intellectual property and potential liability issues that may exist.
- Deliver presentations on University policies and processes as they relate to agreements.
- Authorize the establishment of accounts for the administration of financial resources.
- Monitor agreements and accounts through to project completion to ensure that the University and other parties meet their legal obligations.
- Act as a liaison between University, affiliated hospitals, collaborating institutions and external sponsors concerning policies, regulations, and opportunities to obtain research support.
- Match accounting policies of several external parties such as industry partners or granting agencies to ensure compliance with required contributions, eligible expense limitations, and reporting requirements.
- Enforce University policies to secure revenue streams, protect the interests of the organization and its faculty members and students.
- Plan and coordinate outreach activities with the affiliated research hospitals as they relate to clinical trials agreements.
- Update and maintain filing, storage, and database tracking of research agreements handled by the Faculty.
- Maintain the confidentiality of legal agreements and matters related thereto.
- Remain current with frequent changes to external policies, funding patterns, regulations, restrictions, and internal risk management practices.
