**Job Opportunity**:
Berkshire Hathaway Specialty Insurance has an exciting opportunity to join our growing Transactional Liability team as an M&A underwriter, based out of our Toronto office. The Transactional Liability team provides insurance in connection with Mergers & Acquisitions and other transactions, including Representation and Warranty Insurance, Tax Insurance and Contingent Liability Insurance. In this role, the M&A underwriter will collaborate with our Transactional Liability team to execute Representation and Warranty Insurance deals, with an emphasis on Canadian transactions. Responsibilities will include: developing the Canadian market for M&A insurance by marketing to and building relationships with distribution partners (insurance brokers and law firms) and customers; exercising good judgement to assess and analyze risks and offer appropriate terms; managing and evaluating due diligence; developing and negotiating transaction agreements; and proactively responding to changes in the M&A environment that could impact risks.

**Duties & Responsibilities**:

- Establish, develop and expand broker, law firm and customer relationships, with a focus on Canada-based partners
- Review transaction materials to understand target company profiles and provide preliminary terms
- Underwrite M&A transactions in an expedient and thoughtful manner, focusing on the diligence process and scope of representations
- Draft and negotiate RWI insurance policies
- Work in a fast-paced environment, multi-task and make quick decisions while maintaining underwriting integrity
- Maintain awareness of the competitive environment in and the unique risk profile of the product line

**Qualifications, Skills and Experience**:

- JD degree
- 3+ years of M&A legal practice (diligence, contract drafting and negotiation experience preferred)
- Prior insurance industry experience is not required
- Strong analytical and problem-solving skills
- Ability to work in a fast-paced environment
- Careful attention to detail
- Friendly, proactive and able to work within a team environment
- Strong communication skills, both verbal and written
