We are proud to be partnered with our client, a full-service business law firm, on their search for an experienced Corporate Law Clerk.

The successful candidate will regularly collaborate with other law clerks and paralegals to support the Corporate team. Additionally, the Corporate Law Clerk will directly support 2 lawyers and assist with various legal tasks.

This is a HYBRID position requiring 3 days a week on-site in North York (Eglinton and Don Mills).

Responsibilities Assist lawyers with drafting legal documents, including incorporation documents, shareholder agreements, mergers and acquisition agreements, and contracts. Conduct legal research on relevant corporate law issues and prepare concise memoranda summarizing key findings. Prepare and maintain corporate records, minute books, and filings. Conduct corporate and trademark searches to ensure business name availability. Assist with the coordination and completion of corporate transactions, including mergers and acquisitions. Manage deadlines and calendars for assigned projects. Communicate effectively with clients, colleagues, and external parties. Maintain a high level of organization and attention to detail.

Qualifications Diploma or Bachelor's degree in a relevant field, such as Law, Business Administration, or Paralegal Studies (or equivalent experience). Minimum of 2 years of experience in a corporate law setting. Strong research and writing skills. Proficient in Microsoft Office Suite (Word, Excel, PowerPoint). Excellent organizational skills and time management abilities. Ability to work independently and as part of a team. Strong attention to detail and accuracy. Excellent communication and interpersonal skills.

Nice to have: Experience with legal research databases (e.g., Westlaw, LexisNexis). Knowledge of corporate law principles. Experience with corporate filings and government regulations.
