Your Impact OpenText seeks a commercial Senior Legal Counsel to join its in‑house legal team, performing commercial transactional work for a growing line of business. The role involves negotiating and drafting a wide variety of commercial technology agreements—including cloud services, software licenses, and professional services—supporting Americas‑region sales activity. In addition, you will provide trusted legal guidance, research new product offerings, analyze company transactions, evaluate risk, update templates, deliver training, and manage benefit projects for the Legal team. What The Role Offers Working effectively and pragmatically in a fast‑paced environment Managing multiple responsibilities Understanding a multi‑faceted business Reviewing and negotiating a wide variety of commercial agreements (extra credit for software & SaaS) Communicating complex matters clearly and solving problems practically Building positive relationships with teammates, subject matter experts, internal clients, and customers Providing high‑quality, practical support to business Working with systems and processes Triage and prioritization What You Need To Succeed Interest in learning new technologies and business models; vision to create new templates and streamline processes; willingness to make recommendations and participate in decision‑making Strong experience working in a legal department or a law firm handling commercial matters 8+ years of experience conducting contract negotiations, preferably in technology Enthusiastic, hard‑working, team‑oriented, confident at a senior level with lawyers and other professionals Experience with regulated industries; interest or knowledge of data privacy/security a plus Hands‑on drafting, negotiating, and providing guidance on software licensing, hosted/cloud agreements, professional services contracts, and maintenance/support agreements Knowledge of the IT sector and assistance to sales executives on commercial transactions Background in contract support for sales, marketing, engineering, and other internal clients Ability to advise management on risks and mitigation strategies Good judgment, integrity, and attention to detail Creative thinking and professional conduct Location: Hybrid position (in office 3 days a week). OpenText offices are located in Mississauga, Richmond Hill, Waterloo, Toronto (Canada) and Alpharetta, Gaithersburg (US).
