AsInternal Legal Counsel, you will work closely with our General Counsel as well as the Implementation and Service team to draft, review, and negotiate a wide range of agreements, providing legal advice on a multitude of matters and conducting legal research to support business and client objectives.

Responsibilities:
Drafting Agreements:

  • Prepare agreements including intercompany agreements, co-ownership agreements for entities with dual ownership structures, and agency agreements for borrowing and credit facilities.
  • Draft termination agreements, such as agreements to terminate co-ownership arrangements in cases of policy cancellations.
  • Collaborate with clients and lender’s legal counsel to draft agreements on unique issues.

Shareholder Agreements:

  • Review and advise on shareholder agreements to ensure compliance with legal requirements and protect the interests of the stakeholders.

Purchase and Sale Agreements:

  • Collaborate with clients’ counsel to review and provide input on purchase and sale agreements, ensuring the client’s interests are represented effectively.

Legal Memos:

  • Prepare planning memos, step memos, and transactional memos to provide clear and concise legal analysis on various matters.
  • Develop closing agendas to facilitate smooth transactional processes and ensure all legal requirements are met for the clients.

Legal Guidance and Creativity:

  • Provide directions and guidance on legal matters, drawing on your expertise and creativity to develop innovative solutions to complex issues.
  • Demonstrate a strong understanding of corporate law principles and the ability to apply legal concepts creatively to achieve business objectives.
  • Advise on complex legal matters with multiple stakeholders and provide clarification on legal language or specifications.
  • Negotiate settlement terms and guide management through litigation processes when required.
  • Review business, tax, and risk management strategies to identify and proactively advise on potential risks and opportunities.

Qualifications:

  • BSc degree in Law or J.D. degree.
  • 5-7 + years of experience working in corporate commercial law.
  • Strong drafting and negotiation skills, with the ability to prepare clear and comprehensive legal documents.
  • Proficiency in legal research and analysis, with a keen attention to detail.
  • Experience in tax and financing is considered an asset.
