Senior Legal Counsel

As Senior Legal Counsel, you will collaborate with our high-quality team of established, industry-leading professionals to design and implement tailored solutions, providing strategic legal advice on estate, wealth, and insurance structures for optimal business objectives and tax efficiencies. You will evaluate insurance strategies, identify issues and opportunities, and present recommendations. This role involves drafting related agreements, performing legal and financial due diligence, and managing outside tax advisors and counsel when needed to achieve optimal client solutions.
Key Responsibilities:
- Provide direction and guidance on tax matters, drawing on your expertise and creativity to develop innovative solutions to complex issues to achieve business objectives.
- Advise on complex legal matters with multiple stakeholders and provide clarification on legal language or specifications.
- Review business, tax, and risk management strategies to identify and proactively advise on potential risks and opportunities.
- Prepare planning memos, step memos and transactional memos to provide clear legal roadmaps for clients.
- Develop closing agendas to ensure smooth transactional processes and compliance with legal requirements.
- Research novel legal issues and use those conclusions to support client planning.
- Prepare agreements and documentation that support innovative insurance wealth planning and related transactions, including nominee agreements, purchase and sale agreements and ownership agreements.
- Create documentation for banking and financing matters, agency agreements for borrowing, and credit facilities.
Qualifications:
- Law (LLB or J.D.) degree required; advanced tax degree (LL.M. in Taxation) preferred.
- Minimum of 10 years in Law or General Accounting experience with a focus on estate planning and corporate tax.
- Strong drafting and negotiation skills, with the ability to prepare clear and comprehensive legal documents.
- Proficiency in legal research and analysis, with a keen attention to detail.
- Knowledge of the life insurance industry, its products, regulations, and trends is an asset.
- Experience in a team-oriented, results-oriented, collaborative, customer service-focused environment.
