About the Role

123Dentist is seeking a highly motivated Paralegal to join our dynamic Legal Department based at our Head Office in Toronto. As a key member of our team, you will play a crucial role in supporting the implementation and execution of key business priorities.

Key Responsibilities
  • Prepare transaction closing documents, authorizing resolutions, and facilitate the execution of transactions.
  • Conduct corporate searches, summarize diligence, and prepare no interest letters or discharge undertakings.
  • Prepare leases, lease renewals, extensions, assignments, and amendments, coordinating with landlords.
  • Support acquisition activity, oversee post-closing integration, and assist with transaction and corporate documents.
  • Support regulatory and compliance matters, conducting research and implementing processes.
  • Coordinate with external legal counsel, effectively communicating advice to legal and other departments.
  • Support corporate law matters, including share subscriptions, corporate resolutions, minute book maintenance, and permit renewals.
  • Assist with regulatory college filings, permit renewals, and conduct research on provincial regulatory requirements.
  • Develop and revise contract templates.
  • Assist with maintaining corporate databases and managing litigation matters.
Requirements
  • Highly motivated, with 3-6 years' experience as a Paralegal, preferably in a top law firm or corporation.
  • Background in mergers and acquisitions, leasing, and process improvements.
  • Proven ability to work autonomously, with excellent judgment and analytical skills.
  • French language proficiency is a bonus.
