The Opportunity

South Bow's Legal team is an integral part of South Bow, working collaboratively with other members of the broader business team to achieve the company's goals while understanding and advising on business and legal risks.

South Bow's Legal team is seeking a dynamic and flexible Associate General Counsel who has knowledge and experience in a broad spectrum of corporate governance and securities legal work in support of our business colleagues. We are looking for a leader who is adaptable, inspiring and fun, a team player who can pitch in on a variety of legal matters, a person committed to delivering exceptional legal support and playing an important role in achieving business goals. A background in corporate governance and securities law are a must, and experience in other legal matters such as litigation and M&A are a plus. Position may be in Houston or Calgary.

Because the team is newly formed, we will work collaboratively to leverage each team member's strengths in supporting the business and to offer development in areas of interest. The following is a description of potential workstreams that would be managed by the successful candidate; however, we will adjust roles based upon the skillsets of the successful candidate and the entire team. We are open to a strong candidate who does not have experience in all of the subject areas described below.

What you'll do

• Work with South Bow's general counsel, CFO organization and leadership team to manage the Board of Directors and Committee meetings, and to provide Board of Directors with forward looking legal advice and support.
• Work with the Board of Directors, the Corporate Compliance team and management to develop, implement and maintain a robust governance framework for the organization in accordance with evolving legal requirements and industry best practices, including adoption and periodic review and refresh, of company policies, governance guidelines and charters.
• Lead legal team providing securities and capital markets advice, working closely with the CFO, Business and External Affairs team to prepare and issue periodic and current reports in Canada and the US, assuring compliance with legal and exchange (TSX and NYSE) requirements.
• Provide strategic support in South Bow's US and Canadian litigation strategy, working closely with South Bow leadership and with subject matter experts on the litigation team and in the business.
• Provide commercial legal support in helping our supply chain and right-of-way/land groups deliver business goals.
• Provide legal support to South Bow's Human Resources team, including in benefits, immigration and performance matters.
• Work on a range of other corporate and commercial matters as needed, which could include advice on cybersecurity, business development, joint venture formation and other commercial initiatives relating to existing assets and new business development opportunities.
• Other legal work as required.

Minimum Qualifications

• Law degree from an ABA accredited law school
• Membership or eligible for membership to the State Bar of Texas or the Law Society of Alberta.
• At least 15 years of total legal experience, with experience leading teams
• Experience providing support to a public company Board of Directors
• Strong corporate/commercial legal skills, including demonstrated drafting abilities and strong negotiation skills
• Highly organized and able to play multiple roles supporting diverse client groups and business functions
• Ability to organize and complete complex tasks within tight deadlines
• Effective communication and advocacy skills, both oral and written
• Effective while working independently and in a team environment

Preferred Qualifications

• Understanding of the midstream oil industry, including the applicable North American regulatory framework, and related commercial legal experience.
• Non-legal energy industry experience.
• Legal experience in any of the subject matters described above.
