We are seeking a highly motivated and detail-oriented Senior Law Clerk to join our team. The ideal candidate will have a strong interest in corporate law.

What you will do
- Managing corporate records, including maintenance of minute books, requisite registers and ledgers, and the corporate entity database to ensure integrity of data. Overseeing digitization of physical minute books.
- Preparing and file documents for formation and organization, amendment, continuance, amalgamation, arrangements, extra-provincial registration and dissolution of corporate, sole proprietorship and partnership entities
- Analyzing the need for registration in various jurisdictions and overseeing extra-provincial and territorial registrations, amendments, and annual returns.
- Reviewing and interpreting reorganization memos, share purchase and asset purchase agreements.
- Preparing complex and routine documents in support of intercompany and third party transactions, including closing agendas, agreements, authorizing resolutions and ancillary documents.
- Assisting in post-closing organization of transaction material, updating records and preparation of record books.
- Preparing board and shareholder meeting materials, including notices and resolutions.
- Preparing officer and notarial certificates.
- Responding to complex requests for information relating to corporate secretarial matters from a variety of clients.
- Drafting and reviewing complex share provisions
- Monitoring developments in Canadian corporate law requirements relevant to corporate matters and revise precedent documents and internal processes and procedures to address regulatory changes.
- Work on multiple transactions and matters simultaneously
- Providing support to lawyers while performing a variety of legal and administrative duties
- Establishing and managing direct client relationships
- Minute book reviews and provide input for documents being filed in non-local jurisdictions
- Acts as a mentor and establishes a training relationship with junior and intermediate clerks in group, fosters a respectful, collaborative, learning environment within the team and acts as a role model
- Monitor and communicate with lawyers with respect to ongoing corporate filings and other requirements
What you bring to the role
- Minimum 10 years of experience as a Corporate Law Clerk
- ILCO certification is preferred
- Experience with MinuteBox and Netdocs considered an asset
- Excellent written and verbal communication skills
- Ability to manage multiple tasks and meet deadlines
- Strong attention to detail and organizational skills
- Ability to work independently and as part of a team
- Advanced computer skills including proficiency with Microsoft 365
