Job Title: Contract Specialist

Status: 12 Month Contract

Department: Legal

Reports to: CFO

Location: Ontario – Woodbridge

Summary:

The Contract Specialist provides support to lines of business (LOBs) in contract review, negotiation, and execution. This means attending meetings to understand stakeholders’ requirements and reducing them to relevant agreements as well as ensuring alignment with the applicable governing agreement. The contracts specialist protects the company’s interests by highlighting legal risks and providing direction to mitigate risks. The contracts specialist provides the business with the information it requires to make informed decisions.

Key Accountabilities:

  • Reviewing, drafting, and negotiating SOWs, amendments, professional services contracts, and MSAs.
  • Assisting the legal counsel with due diligence requirements.
  • Guiding internal teams on contract requirements, interpretation, and other contract-related issues.
  • Responding to contract inquiries.
  • Engaging with internal and external stakeholders to negotiate detailed technology agreements, highlighting areas of risk and drafting clauses to mitigate risk to the business.
  • Acting as a liaison between various internal and external stakeholders to drive contracts to signature
  • Assisting with the management of contract lifecycles, including communicating, advising, and validating execution versions, and storing executed contracts
  • Contributing to updates of contract terms and other legal documents
  • Assisting in maintaining and updating a library of legal templates and resources
  • Providing sales teams with lists of completed contracts.
  • Preparing customer reports on the status of contracts.

Qualifications & Competencies:

  • 5-7 years of experience
  • Bachelor's degree
  • Legal research and writing
  • Must have Law Clerk/Paralegal certification
  • Effective communication and relationship building skills to build long standing business partnerships.
  • Creative problem-solving skills and ability to find solutions.
  • Strong time management skills
  • High attention to detail
  • Strong analytical skills and negotiation skills
  • Proficiency in MS Office environment (Word, Excel, Outlook, Teams).
  • Experience with DocuSign
