About the Role
Reporting to the Chief Operating Officer, our Corporate Law Clerks are responsible for providing skilled legal and administrative support to the firm's corporate and commercial practice. This role manages a wide range of corporate transactions and filings, maintains accurate corporate records, and ensures that clients receive timely, high-quality service. As the newest member of our clerk team, the ideal candidate is detail-oriented, organized, proactive, and comfortable managing workflows in a dynamic legal environment.
Key Responsibilities
- Maintain corporate minute books, registers, ledgers, and prepare annual resolutions and filings.
- Draft and file incorporation documents, amendments, dissolutions, continuances, and director/officer changes.
- Prepare and process share transactions, including issuances, transfers, redemptions, and reorganizations.
- Conduct corporate searches and due diligence reviews for transactions.
- Draft closing documents and agendas, coordinate closings, and prepare closing books.
- Prepare and submit filings with federal and provincial corporate registries and basic securities exemption filings.
- Maintain current knowledge of relevant legislation and filing procedures.
- Support client needs, including maintaining client files and legal databases.
Qualifications
- Law Clerk diploma or certificate from a recognized program.
- 2-4 years of experience as a Corporate Law Clerk in a law firm or in-house corporate department (experience level can be adjusted).
- Strong understanding of federal and provincial corporate statutes.
- Experience with corporate database software and e-filing platforms.
- Excellent drafting, organizational, and time-management skills.
- High attention to detail with the ability to work independently and collaboratively.
