Headquartered in Toronto, the Canada Infrastructure Bank (CIB) is responsible for investing in new infrastructure projects. The CIB's mission is to work with provincial, territorial, municipal, federal, Indigenous and private sector investor partners to transform the way infrastructure is planned, financed and delivered in Canada.

The CIB is looking for a Paralegal, Investments Legal, to join the Legal Team. Reporting to the Associate General Counsel, Investments Legal, the successful candidate will assist with preparing meeting minutes, including resolutions, for internal and Board of Directors' meetings in which investments are approved. They will also assist the other Legal Counsels, Investments Legal, with a variety of legal work, such as drafting documents, reviewing legal agreements and assisting with transaction closings.

In this highly collaborative role, the Paralegal, Investments Legal, will be working closely with the Legal Counsels, Investments Legal, and the Investments, Credit Risk and Asset Management teams, supporting and advising them on a wide range of investment matters. A motivated self-starter with a partner-focused mindset, this person will be exposed to a broad range of business activities related to the due diligence and execution of bespoke financing transactions and corporate secretarial matters.

Your responsibilities include:

  • Preparing draft minutes for management committee and Board of Directors' meetings
  • Reviewing engagement letters with law firms, closing documents and posting notices on the Impact Assessment Agency of Canada
  • Preparing and reviewing routine legal agreements
  • Preparing non-transactional documents such as memoranda, letters, procedures, guidelines, checklists and PowerPoint presentations
  • Assisting with closings of financing for infrastructure projects
  • Assisting with post-closing matters such as amendments and waivers, reservation of rights and waiver letters
  • Coordinating training for the Legal team and for the broader CIB
  • Generally, assisting with a variety of legal matters as they arise

Your ideal profile:

  • Completion of a paralegal diploma program
  • Licensed with the Law Society of Ontario or the equivalent in another province
  • 3–5years of experience as a paralegal ideally in financial services
  • Bilingual in both official languages (French and English), oral and written is an asset
  • Strong communication and interpersonal skills, including an ability to build relationships and work cooperatively in a matrixed corporate environment
  • Motivated self-starter with the ability to work independently with minimal supervision on a range of projects
  • Strong organizational, project management and decision-making skills and able to manage multiple competing projects simultaneously
  • Demonstrated good judgment and professionalism

Sous la responsabilité de l'avocate générale associée, Droit des investissements, le/la candidat·e retenu·e participera à la préparation des procès-verbaux, y compris les résolutions, des réunions internes et du conseil d'administration au cours desquelles les investissements sont approuvés. Dans le cadre de ce poste hautement collaboratif, le/la parajuriste, Droit des investissements, travaillera en étroite collaboration avec les conseillers juridiques, Droit des investissements, et les équipes des investissements, du risque de crédit et de la gestion d'actifs, en les soutenant et en les conseillant au sujet de divers aspects liés aux investissements. Cette personne motivée et autonome, ayant un esprit d'équipe, sera exposée à un large éventail d'activités commerciales liées à la revue diligente et à l'exécution de transactions de financement sur mesure et aux questions de secrétariat d'entreprise.

Vos responsabilités :

  • Préparer les procès-verbaux provisoires des réunions du comité de gestion et du conseil d'administration
  • Passer en revue les lettres de mission avec les cabinets juridiques, les documents de clôture, publier des avis auprès de l'Agence d'évaluation d'impact du Canada
  • Préparer et examiner les accords juridiques courants
  • Préparer des documents non liés aux transactions tels que des mémorandums, des lettres, des procédures, des lignes directrices, des listes de contrôle, des présentations PowerPoint
  • Aider aux clôtures financières des projets d'infrastructures
  • Aider aux questions après les clôtures financières, telles que les modifications et les renonciations, les réserves de droits et les lettres de renonciation
  • Coordonner la formation de l'équipe juridique et de la BIC en général
  • Aider de manière générale à diverses questions juridiques au fur et à mesure qu'elles se présentent

Le profil idéal :

  • Titulaire d'un diplôme de parajuriste
  • Membre du Barreau de l'Ontario ou d'un organisme équivalent dans une autre province
  • 3 à 5 ans d'expérience en tant que parajuriste, idéalement dans le domaine des services financiers
  • Maîtrise des deux langues officielles (français et anglais) à l'oral et à l'écrit, un atout
  • Excellentes aptitudes en communication et en relations interpersonnelles, notamment la capacité d'établir des relations et de travailler en collaboration dans un environnement d'entreprise matriciel
  • Grande motivation et capacité à travailler de manière autonome avec un minimum de supervision sur divers projets
