About the Company

Our client is a well-established law firm recognized for its excellence in legal services across multiple practice areas. They are seeking a Corporate Law Clerk to join their growing team.

Responsibilities

  • Manage physical and electronic client files in accordance with firm policies.
  • Organize and maintain minute books, prepare annual resolutions, and file annual returns.
  • Prepare and file articles of incorporation, amendments, and other corporate registrations and filings.
  • Conduct minute book reviews and prepare remedial resolutions.
  • Prepare corporate documents including resolutions, by-laws, incorporations, amalgamations, dissolutions, and amendments.
  • Provide support for corporate transactions including business acquisitions, reorganizations, financings, and general corporate maintenance.
  • Draft shareholder agreements, share purchase agreements, annual meeting documents, annual filings, and amendments.
  • Participate in client meetings, including will signings and other document signings.
  • Perform general administrative duties including docketing, scheduling, scanning, photocopying, and binding.
  • Conduct PPSA registrations and prepare closing documents.
  • Provide general assistance to lawyers as required.

Requirements

  • Minimum 3 years of experience as a Corporate Law Clerk.
  • Law Clerk Diploma or equivalent education.
  • Ability to work both independently and collaboratively in a fast-paced environment.
  • Reliable, punctual, and professional with a strong work ethic.
