Legal Contract Specialist

**Skills**
- Effective ability to understand, develop and execute contracts;
- Assist with pre-liminary legal proceeding demands, and/or responses;
- Exceptional ability to draft preliminary MOU, LOI and simplistic contracts;
- M&A work: including initial discussion memorialization to definitive agreements;
- Due diligence review:
- Creating closing books;
- Understand the importance of accuracy and attention to detail;
- Excellent reading and language comprehension;
- Exceptional communication skills (oral and written);
- Ability to work with a team at all levels of an organization;
- Have exceptional organization and time management;
- Be able to work independently with little instruction;
- Computer literacy; and
- Proficiency in English;
**Experience**
- Be a qualified lawyer, with minimum of 4 years of experience;
- Contract drafting, M&A experience, real-estate transactions, and general business administration experience is preferred; and
- Law Degree required, admission to the Law Society not required.
**Duties**
- Contract Drafting & Business Administration
- Work with different levels of personnel within an organization to analyze and solidify contract strategies;
- Coordinate actions with internal legal team and multi-corporate executive management team;
- Obtain instructions and draft preliminary contracts, MOU and LOI, but also definitive agreements;
- Review and assess documents for due diligence;
- Identify additional contracts required, flowing from existing obligations, and put those in place;
- Create and complete all documents relating to closing books;
- Report on status of current contract processes to management;
- Resolve any existing contract conflicts;
- Serve as a liaison between internal and external parties during contract development and negotiation stages;
- Provide legal counsel on corporate governance issues;
- Advise on mergers, acquisitions, and other corporate transactions;
- Ensure compliance with relevant laws and regulations
- Follow up to guarantee contractual terms are being met;
- Analyze potential risks that contract changes may pose to the organization;
- Review and proofread documents and correspondence to ensure compliance with legal procedures and grammatical usage; and
- Utilize knowledge of legal records and procedures and frequently controlling confidential materials and documents.
