Reporting to the Chief Executive Officer (CEO), this role is responsible for providing confidential senior administrative support to the CEO and governance support to the Board Chair, and all committees of the Board. A major function of this role is to be forward thinking and to be constantly reviewing and prioritizing urgent matters, managing all types of information and then independently providing the necessary follow-up and communications to such matters on behalf of the CEO and Chair of the Board of Directors.

**DUTIES**:

- Represent the interests of the CEO in administrative matters pertaining to the Board and its committees.
- Facilitate effective triaging of queries and sensitive issues on all matters pertaining to the Board and its committees, determine appropriate action and provides appropriate response.
- Develop and draft briefing notes, reports, correspondence, memos, spreadsheets and corporate materials.
- Provides executive support to the CEO to ensure the efficient administration and operation of the Board and its committees.
- In collaboration with the CEO, organize the Annual General Meeting, Board rretreats, annual orientation sessions and other Board events.
- Design and coordinate continuing education for Board members under the direction from the Board Chair and in collaboration with Compass’s Senior Leadership Team.
- Coordinate Board involvement in the Accreditation process and support governance quality and process improvement initiatives.
- Ensure all meeting materials are aligned with established procedures for the Board as outlined in the Governance Calendar/Work Plan and consult with Board Standing Committees to ensure the agendas, minutes, supporting materials and processes meet the expectations of the Board.
- Carries out any other appropriate duties and responsibilities as may be assigned by the Board, a Board Committee, in consultation with the CEO.
- Provides governance leadership and expertise to the Board and its Committees.

**QUALIFICATIONS**:

- Completion of relevant post-secondary degree or diploma and/or five (5) years senior executive support and office management experience, including significant governance knowledge and expertise to support the Board of Directors in a not-for-profit organization.
- Knowledge of the Corporations Act as it relates to the Board of Directors and thorough understanding of By-Laws, policies, formal meeting procedures and governance is required.
- Exceptional ability to maintain a professional outlook, while handling numerous tasks in a highly demanding, constantly changing environment.
- Excellent judgement, tact, and political acumen and discretion in preparing, disclosing and handling information of a confidential and sensitive nature.
- Proven time management skills with the ability to prioritize assignments.
- Advanced skills in business writing, oral communications and minute-taking combined with proficient computer skills.
- Possess strong verbal and written communication in both English and French is required.
