We are looking for a legal advisor to work with the Company’s departments to offer various legal services in different areas of the law. Your counsel will be required in mining law, construction law, securities law, Indigenous law and general commercial law.

YOUR MISSION

In NMG’s legal department, no two days are the same and the weeks go by quickly. You may be called upon to negotiate an agreement in principle for a new partnership, a supply contract for specialized equipment, or a development agreement with First Nations; advise senior management on project risks; help implement new financing; or uphold our compliance with continuous disclosure obligations for a public company.

**The position’s specific challenges include**:
Provide securities advice, including in connection with NMG’s compliance with its continuous disclosure obligations.
Participate in the preparation of NMG’s key ongoing and annual disclosure documents such as the Annual Information Form, Proxy Circular, etc., required under applicable securities laws;
Helping to negotiate and draft letters of intent, documents related to investments or financing (bank loans, leasing, etc.) and all other legal documents (contracts for professional services, construction, procurement, leases, etc.).
Providing advice and opinions on a wide range of legal matters, including but not limited to corporate governance and governance, as well as any other matter of interest to management, the Board of Directors and/or its committees.
Identifying and evaluating the different risk factors related to the Company’s activities.
Advising the Company’s departments on legal and commercial matters.
Developing a global understanding of the organization’s issues, particularly in relation to operations and more technical aspects.
Making recommendations that account for the Company’s reality and industry.
YOUR SKILLS PROFILE
Have a bachelor’s in law and be a member of the Barreau du Québec, as well as two (2) to five (5) years of relevant experience at a law firm or in a company,
Knowledge of securities for small and mid-cap public companies is essential.
Have excellent interpersonal and teamwork skills.
Have good business sense and demonstrate self-sufficiency and discipline.
Have a pragmatic, thoughtful and results-oriented approach to the practice of law.
Be able to manage and prioritize multiple files at the same time.
Have an excellent command of French and English (both oral and written).
Demonstrate a sense of humility and a keen interest in learning and growing.
