Legal Counsel

The Kinross Corporate Head Office is located in downtown Toronto and supports Kinross’ operations and projects worldwide. Corporate functions include Finance, Procurement, Health & Safety, Human Resources, IT, Investor Relations, Exploration, Geology and Mine Planning, among others.

As an integral member of the head office legal department in Toronto, this role assists with the management and administration of the Company’s legal affairs and issues.

**Responsibilities**:
**Contracts**
- The legal owner of Supply Chain and Projects work - reviews/ negotiates/ drafts and provides advice in respect of a broad range of contracts (with a particular emphasis on supply chain, EPCM, construction contracts and confidentiality agreements) and, as necessary, engages/manages outside counsel in their performance of same, with mínimal supervision from manager.
- Ensures that contracts and contract administration are compliant with applicable laws, corporate policies and objectives
- Oversees the development and review of standard form contracts in consultation with applicable internal functional leaders, internal regional counsel and external advisors
- Manages all legal issues related to the management of contracts, including supplier disputes and potential legal actions

**Policies, regulatory filings, and corporate governance**
- Accountable for the updating, management and enforcement of the Supply Chain Policy
- Assists with the implementation, administration and enforcement of core corporate policies/procedures, including driving employee education programs and an annual review process, and leads other policy drafting/review initiatives
- Advises on matters related to subsidiary governance/maintenance and securities compliance
- Manages certain annual and quarterly disclosure drafting and review

**Litigation**
- Manages non-material litigation and supports the legal team in the management of material litigation
- Assists with periodic and annual audit enquiries
- Transactions
- Advises on ordinary course corporate transactions, including reviewing/ negotiating/ drafting applicable transaction documents
- Supports the legal team in advising senior management on matters related to mergers and acquisitions, and financings, including conducting and managing due diligence, participating in the negotiation/review/drafting of transaction documents, and providing other transactional support/advice
- Assists the Corporate Development department with the management of the electronic data room

**General**
- Contributes to strategic operational initiatives for the legal department such as the development of a global procurement strategy
- Provides general legal support for project development and supply chain matters, and other initiatives as required
- Regularly liaises with and provides legal analysis/advice to projects and supply chain personnel and members of senior management and other functional leaders on a variety of legal issues
- Provides support to regional internal counsel as required
- Stays abreast and updates teh legal department regarding material legal developments, particularly in the projects and procurement areas, and applies best practices

**Education and Experience**:

- Undergraduate degree
- Law degree from an accredited Canadian or U.S. law school
- Qualified to practice law in Canada and/or the U.S.
- 2-4 years of general corporate/commercial law practice experience with a top-tier law firm or in-house with a blue-chip company.
- Projects/procurement experience is desirable
- Work experience in the natural resources industry, preferably in mining, would be an asset
- Superior analytical, negotiation, writing, and drafting skills, particularly involving transactional and other contractual arrangements
- Organized and detail-oriented, with an ability to prioritize, meet deadlines and work effectively, individually and as part of a team, in a dynamic, fast-paced, challenging environment
- Highly motivated, independently driven, and able to work independently with mínimal supervision
- Strong business orientation and acumen, with an ability to advise senior management
- Excellent interpersonal and communication skills
