**ACCOUNTABILITY STATEMENT**:
The Corporate Governance Specialist is responsible for the planning, coordination, management and delivery of all Ontario Northland Board and Committee meetings and providing strategic advice on Ontario Northland governance oversight, administrative responsibilities and requirements.

**MAJOR DUTIES/ RESPONSIBILITIES**:

- In consultation with the Corporate Secretary, acts as an authoritative source for corporate governance processes, procedures and requirements in compliance with the ONTC Act and other applicable ministry directives, corporate policies and by-laws, and other best practices
- Monitors and tracks all Board-related accountabilities to ensure internal and government mandated deadlines are met
- Monitors the appointment terms and requirements for Board members and regularly updates the Board’s skills matrix and succession plan
- Plans, develops and leads director education and training initiatives and Ontario Northland’s new director orientation program
- Develops in-depth reports and analysis and presents options and recommendations to the Executive Team, the Senior Leadership Team and the Board of Directors for decision-making purposes
- Provides expertise to the development and implementation of governance-related performance measures
- Leads and manages end-to-end activities for Board and Committee meetings, including agenda management, minutes and Board action/follow-up; works with the Executive Team and Senior Leadership Team to ensure meeting materials are prepared and approved
- Makes decisions on appropriate roles/involvement of a variety of stakeholders to ensure effective and appropriate collaboration throughout the Board meeting management cycle
- Supports the Executive Team, the Senior Leadership Team, the Chair and the Board of Directors in developing and maintaining external stakeholder relationships
- Research, review, develop, implement, and monitor best practices, polices and procedures to optimize and modernize Ontario Northland’s corporate governance program and in response to the requirements of the Board of Directors, the Chair, the CEO, MTO and government
- Support the Senior Leadership Team and Executive Team in reporting progress to MTO on compliance with the Annual Letter of Direction and other Minister or Deputy Minister Letters of Direction
- Builds organizational awareness of and provides support to the Chair and President & CEO in their roles as Ethics Executives
- Develops content for the Board of Director’s internal site on the Junction and the Board of Director’s site on Ontario Northland’s public-facing website
- Provides support for strategic projects in the Legal Services and Corporate Governance Department including developing and implementing operational policies and other projects, as assigned

**REQUIREMENTS**:

- University degree in Administration, Political Science, Business Administration or related discipline
- 5+ years of experience in governance, policy, or related roles
- Experience with Diligent Board Management software platform is an asset
- Extensive knowledge of the principles of good governance, the Agencies and Appointments Directive and board management
- High level of political acuity to lead and coordinate outreach with the ministry regarding governance and Board management issues
- Advisory and leadership skills to plan and lead governance, Board management projects and provide advice, expertise, and guidance to the Executive Team, Senior Leadership Team, ministry stakeholders, and the Board of Directors
- Consultation, interpersonal, and influencing skills to discuss and resolve diverse and competing issues with stakeholders, and to influence, persuade, and negotiate the resolution of conflicting viewpoints, and to resolve governance and implementation concerns
- Relationship building and consensus building skills to develop and maintain effective relationships with Ontario Northland and ministry stakeholders
- Logical and analytical in order to identify the strengths and weaknesses of different available options
- Ability to define issues, identify implications, and develop appropriate recommendations.
