Job Description Summary
Reporting directly to the President and working closely with the Board of Governors and senior leadership team, the Board Secretary is responsible for providing strategic direction, expertise, and support to ensure the effective operation and administration of the University’s Board of Governors and its committees as set out in the University Act. The Board Secretary leads the Secretariat team and partners effectively across the organization to optimize governance and associated legislative and policy issues.

Organizational Status

The Board Secretary reports directly to the President and Vice-Chancellor of the University while maintaining a strong and collaborative working relationship with the Chair of the Board and the Chancellor. In this capacity, the position provides independent and impartial governance advice to both the University’s senior leadership team and the Board to support effective decision-making.

This position will also work closely with the Executive Leadership Team, other senior University leaders, members of the Board, and internal and external constituencies. In this capacity, this position provides leadership in developing and implementing policy and participates in strategic initiatives, both on items related to the Board Secretary‘s role and more broadly within the university.

Work Performed

Leadership
- Provide leadership in effective governance, compliance and reporting obligations working closely with the University’s executive leadership team (under the President) and the Board of Governors (under the Board Chair) to ensure alignment, transparency and the smooth operations of the Board governance and the Secretariat.
- Act as liaison between the Board and the University’s senior leaders and as the main point of contact for Governors.

Promote good governance
- Serve as the main source and advisor on all matters related to corporate governance to the Board, Governors and the University’s senior leadership on current developments and compliance.
- Draft various reports or undertake research for the Chair or President as required.
- Promote strong corporate governance practices within the University.
- Provide a positive influence on the composition, membership, activities and ultimate effectiveness of the Board and Committees by providing resources, information and communications, as needed and appropriate.
- Develop and maintain effective and collaborative working relationships with the Board Chair, Committee Chairs, individual Governors, members of senior leadership and stakeholders.
- With the Governance Committee, administer and manage the periodic review of all corporate governance documents and Board practices. Work with the Governance Committee Chair, Board Chair and President to implement changes to Board policy or process that result from reviews, including evaluations, or as may otherwise be required.
- Continuously monitor emerging trends in corporate governance practices and trends in post-secondary, academic governance, advising the Governance Committee, Board and senior leadership and updating UBC’s approach as appropriate.
- Manage the University’s annual governance disclosure to ensure consistency with good governance standards for academic institutions.
- Assist with the administration of the Board, Committee and Governor evaluation processes as appropriate.
- Proactively identify and assess major areas of concern in governance-related matters and recommend appropriate steps for mitigating the University’s risk.
- Conduct or facilitate independent research and analysis as required to provide support and advice to the President, Board Chair, or others as required.
