**What you will be doing**:

- Preparation of franchise disclosure documents and packages, franchise agreements, and all other ancillary legal documents as required.
- Preparation of transactional documents related to share/asset purchase and sale transactions, etc.
- Conduct corporate and security searches and attend to registrations and filings.
- Conduct basic and complex minute book reviews, preparation of deficiency reports, and rectification of said deficiencies.
- Preparation of minute book documents such as resolutions, minutes, redemptions, dividends, etc.
- Preparation of documents and related filings with respect to incorporations, amendments, amalgamations, dissolutions, continuances, etc. including extra-provincial and territorial registrations.
- Liaise with clients, lawyers, and other external parties as required.
- Track key renewal, expiry, and other important dates and deadlines.

**What you will bring to the position**:

- Minimum of five (5) years’ experience gained as a Franchise Law Clerk in a similar role.
- Completion of a post-secondary Legal Assistant or Law Clerk program.
- Proficient in utilizing relevant legal software and technology, such as ProLaw, etc.
- Strong analytical and organizational skills with the ability to work both independently and as part of a team.
