**The role**

The person holding the position of Legal Counsel, Compliance will report to the Corporate Secretary and Senior Director, Ethics and Compliance. This is a new role created within the Corporation and this Legal Counsel will play a vital role in ensuring that the organization adheres to legal standards and internal policies.

**The responsibilities**
- Provide expert guidance on legal and regulatory compliance and ethics matters.
- Develop, implement and manage a compliance and ethics program, including policies, directives, and procedures covering, among other areas, privacy, access to information, conflicts of interest, and the fight against bribery and corruption.
- Develop training content and other tools and conduct training sessions for staff on compliance and ethics requirements.
- Advise business functions on data protection and privacy related matters.
- Conduct privacy impact assessments, when required.
- Oversee the Access to Information and Privacy Office.
- Analyze declarations of interest and formulate recommendations to mitigate and manage conflicts of interest.
- Develop and maintain documentation related to compliance activities.
- Prepare reports on compliance issues and activities.
- Conduct risk assessments to identify potential compliance issues.
- Investigate and resolve reported ethical violations and compliance breaches.
- Advise senior management on emerging compliance trends and risks.

**The requirements**
- Minimum 7 years of experience as a legal counsel in a large company or Crown corporation.
- Excellent knowledge and understanding of corporate law and procedures.
- Strong organizational and time management skills.
- Excellent written and verbal communication abilities.
- Attention to detail and accuracy in documentation.
- Ability to work collaboratively with senior management and external stakeholders.
- Great capacity for initiative and taking charge of files, proactive in identifying issues and finding solutions, comfortable working independently and prioritizing files.
- Analytical and synthesis skills.
- Excellent ability to adapt to changes.
- Bilingualism (English and French) is required.
