**Job Overview**
Our client, a top-tier law firm with a strong presence in corporate and securities law, is currently seeking a detail-oriented and experienced Securities Law Clerk to join their Toronto office. This is an excellent opportunity to work with a high-performing legal team on a wide range of complex and high-profile securities matters.

**Key Responsibilities**:

- Manage and process electronic filings on SEDI and SEDAR for public companies and other corporate clients
- Prepare TSX-related documentation through TSX Linx
- Assist in drafting legal documents and regulatory forms for both public offerings and private placements of securities
- Conduct due diligence and review publicly available disclosure materials to support legal analysis
- Organize and compile disclosure packages and related documentation for regulatory compliance
- Coordinate securities registration processes, including filings through the National Registration Database (NRD)
- Provide transactional support to lawyers throughout deal closings, ensuring timely and accurate documentation
- Maintain internal precedent databases and ensure legal templates are up to date
- Track developments in securities legislation at both federal and provincial levels, and communicate relevant changes to legal teams
- Support the implementation and transition of clients to the SEDAR+ platform
- Offer mentorship and practical support to junior team members, students, and new associates

**Qualifications & Experience**:

- Diploma or certificate from an accredited Law Clerk or Legal Administration program
- Demonstrated experience working in securities law, with exposure to corporate transactions considered an asset
- Strong legal administrative and research skills with the ability to manage complex filings and regulatory requirements
- Highly organized and capable of balancing multiple priorities in a fast-paced legal environment
- Excellent communication skills, both written and verbal, with a strong focus on client service
- High attention to detail with proven problem-solving and analytical abilities
- Confident working independently while contributing positively to a collaborative team dynamic
- Professionalism and discretion when handling sensitive legal matters
