**Job Overview**
We are seeking a skilled and detail-oriented Law Clerk to join our team. In this role, you will support the legal department in corporate governance, contract administration, and real estate, construction, and corporate transactions. You will play a key role in maintaining compliance, reviewing and drafting legal documents, and managing legal records while assisting with complex legal and commercial matters in a fast-paced corporate environment. Working closely with in-house counsel and cross-functional teams, you will help ensure regulatory compliance and support the company’s diverse legal operations.

**Key Responsibilities**
- Draft, review, and organize a variety of corporate, commercial, real estate, and construction-related documents, including third-party agreements, subcontractor agreements, purchase orders, and supplier contracts.
- Assist with corporate governance by preparing and maintaining records for legal entities, including resolutions, bylaws, and minute books, and liaising with internal teams on corporate maintenance matters.
- Administer and manage pre-construction and construction documentation, such as change orders, procurement records, and subtrade agreements.
- Prepare and draft legal letters and notices to purchasers, opposing counsel, stakeholders, governmental and quasi-governmental authorities.
- Support legal counsel by reviewing and preparing detailed reports and providing summaries on contract execution, project schedules, warranties, and risk mitigation strategies.
- Serve as a key contact for internal departments and external stakeholders to address and resolve legal or contractual inquiries.
- Maintain and manage accurate legal and contractual records using document and contract management systems.
- Conduct legal research and prepare memoranda on various legal issues including corporate, real estate, and construction law matters, as needed.
- Manage invoices and expenses related to external counsel and legal operations
- Collaborate with legal counsel on various tasks, including drafting correspondence, assisting with transactional due diligence, and supporting litigation or compliance matters.
- Other duties as assigned by the General Counsel.

**Qualifications and Experience**

**Education**:

- Law Clerk diploma
- Specialized training in corporate commercial law, real estate, and/or construction law is an asset

**Experience**:

- 3-5 years of experience as a law clerk in a corporate in-house department, law firm, or similar environment.
- Proven ability to draft, negotiate, and manage corporate and construction agreements, such as purchase and sale agreements, amendments, and resolutions.
- Strong communication and presentation skills, both oral and written.
- High attention to detail, accuracy and follow-through.
- Ability to work independently, with strong problem-solving abilities.

**Skills**:

- Strong drafting skills, including legal letters, momranda, notices, resolutions, bylaws, and incorporation documents.
- Proficient in managing complex contracts, including performance, warranties, and cost management within construction management agreements.
- Skilled in legal research and document organization.
- Willingness to learn and enhance legal knowledge and skills.
- Exceptional attention to detail with excellent written, verbal, and interpersonal communication skills.
- Ability to peruse legal agreements and contracts to explain complex contractual terms clearly and concisely.
- Strong organizational and prioritization skills, capable of managing a high workload in a fast-paced environment.
- Ability to maintain confidentiality and handle sensitive information with discretion.
- Proficiency in MS Office (Word, Excel, PowerPoint, etc.).
