**Legal Counsel**
**High Tide Inc.**,** Canada’s largest non-franchised cannabis retail chain with global e-commerce assets, is looking for a talented **Legal Counsel **t to join our dynamic global team. Based in Calgary, Alberta, and reporting to the Vice President and Legal Counsel, the Legal Counsel will ensure that senior management satisfaction is maintained at the highest level by strategically planning and providing Legal advise and execution.
**What you will do**
- Contributing as a member of the Legal and Compliance Team bringing your experience and creative legal skills to provide practical solutions to our businesses
- Oversee and provide transactional support on mergers and acquisitions, review and negotiate transaction agreements and see transactions through to completion
- Managing and supervising external legal support
- Contract negotiation (IT agreements, Share and Asset Purchase Agreements and ancillary documentation)
- Regulatory review and analysis, including applicable Canadian and foreign legislation
- Advising and implementing internal restructurings
- In collaboration with other members of the Legal Department, update precedent contracts and contract management processes and help to identify opportunities to streamline the Legal Department and develop tools that empower the business to move quickly.
- Assist the Vice President and Legal Counsel in identifying and assessing legal risks and developing strategies to mitigate risks and protect High Tide’s interests.
- Completing other legal review and drafting requirements for the business
**What you will bring**
- Law Degree, Member of a Provincial Bar in good standing
- 5+ years of relevant legal work experience at a large law firm or in-house
- Strong legal experience in corporate and commercial law with a strong focus on mergers and acquisitions.
- Self-motivated with the ability to work well independently and as part of a team
- Strong drafting, legal and communication skills with a practical solution-oriented approach
- Ability to work independently to proactively bring projects to completion
- Ability to work well under pressure
- Highly focused with attention to detail
- Proven analytical and problem-solving skills with experience simplifying and resolving complex problems
- Superior organizational and time management skills with experience addressing multiple projects at once
- Computer skills (Outlook, Word, PowerPoint).
- Experience working in cannabis retail would be considered an asset.
