**Responsibilities**:
**What your day will look like**

**Legal Support & Administration**
- Provide leadership and support to the internal Legal, Corporate and Risk groups with legal, administrative and account related tasks in the areas of:

- corporate governance
- contract management
- general commercial
- various regulatory matters
- Corporate Secretarial Support
- Accountable for the preparation, maintenance and updating of minutes books, corporate records, meeting material packages, including annual general meetings in coordination with the Corporate Secretary, for parent corporation and all subsidiaries
- Maintain federal, extra-provincial and territorial corporate registrations
- Commercial - Contract Management and Review
- Provide guidance and legal expertise to the project teams by reviewing contracts/agreements, along with terms and conditions of Requests for Proposals, Request for Information, Master Service Agreements issued by various municipal, provincial and federal governments and private companies, for the purpose of determination of compliance with company and engineering consulting industry standards
- Manage and deliver staff training, and the development of processes, with respect to contract reviews and compliance
- Maintain electronic filing systems, including creation of document management infrastructure as needed
- Wherever needed, assist project teams with reviewing, and obtaining insurance confirmation and certificate requirements of various clients, with respect to new and continual consulting projects
- Completion of other special projects and tasks, as assigned

Qualifications:
**What will you need to succeed**
- A Paralegal diploma
- Licensed as a P1 Paralegal in the province of Ontario

**Experience**:

- Eight (8) to ten (10) years of proven successful corporate Paralegal experience or an equivalent combination of training, education, and experience
- Strong knowledge of federal and provincial corporate legislation and requirements associated with maintenance of corporate records and related filings
- Previous demonstrated knowledge of contract principles and contract review
- Demonstrated experience in maintenance of corporate secretarial documentation, including annual federal and provincial filings and maintenance of minute books
- Exceptional software capabilities including an in-depth knowledge of Google Suite products.
- Highly motivated and a self-starter who is able to grasp new ideas and can learn new concepts and processes quickly
- Strong verbal and written communication skills
- Exceptional attention to detail
- Ability to work independently, as well as in a team environment
