Corporate Law Clerk Opportunity

We are seeking a highly skilled Corporate Law Clerk to join our team at Linds & Associates. As a Corporate Law Clerk, you will play a critical role in supporting our lawyers and clients with corporate law matters.

Responsibilities:
  • Prepare all documents related to corporate reorganizations, share or asset purchase transactions, and tax reorganizations.
  • Prepare share provisions for tax and reorganization transactions.
  • Organize and maintain corporate records, filings, and extra-provincial registrations.
  • Conduct minute book reviews, report results, and provide recommendations on deficiencies.
  • Prepare and organize provincial and federal incorporations, both share and non-share.
  • Prepare documents in support of fundamental changes.
  • Liaise with accountants, lawyers, and regulators to take instructions, obtain information, and report on status of matters.
Qualifications:
  • Minimum of 5+ years of experience as a Law Clerk in a law firm environment.
  • Experience with corporate database software, including Enact and Athennian, OnCorp, Microsoft Office Suite, iManage, and Expert Time.
  • Experience with Ontario and Federal corporate law and exposure to other Canadian jurisdictions.
  • Completion of a recognized law clerk program and holding a Law Clerk designation.
  • Ability to communicate effectively with firm members, verbally and in writing, and provide excellent client service.
  • Demonstrated initiative and capacity to work proactively and independently, as well as in a team environment.
  • Excellent organizational skills, attention to detail, and ability to work efficiently with technology.
