Job Summary

We are seeking a highly skilled and experienced Assistant General Counsel, Mergers and Acquisitions to join our team at SGS. As a key member of our corporate development team, you will play a critical role in supporting the General Counsel and senior business leaders in all aspects of acquisitions, divestitures, joint ventures, minority investments, and other business transactions.

Key Responsibilities
  • Conduct due diligence, draft, and review legal documents related to mergers and acquisitions.
  • Coordinate with internal and external stakeholders, including outside counsel, to ensure compliance with legal and regulatory requirements.
  • Manage and oversee the transaction process, including negotiations, contract drafting, and deal closing.
  • Provide general counseling to senior management on acquisition and business strategies.
  • Participate in special projects and initiatives as needed.
Requirements
  • Juris Doctor degree from an accredited law school.
  • 5-7 years of experience as a practicing M&A attorney, preferably with both private practice and in-house experience in the U.S. and Canada.
  • Member of the New Jersey State Bar or eligible for the NJ in-house counsel license.

  • Strong analytical, problem-solving, and negotiation skills.
  • Ability to work effectively in a fast-paced environment and manage multiple projects simultaneously.
  • Excellent communication and interpersonal skills.
