Myant Inc is a leader in wearable technology, pushing the boundaries of innovation and technology. We are seeking an exceptional Corporate Counsel to join our team.

Job Summary

This is an in-office position dealing with a wide range of general legal work, including commercial contracts, intellectual property, patents, and healthcare. The ideal candidate will possess 5+ years of strong corporate and/or commercial experience, preferably in the technology and start-up space.

Key Responsibilities

  1. Advise on commercial agreements involving complex, multi-stakeholder legal issues.
  2. Conduct legal risk assessments and work with business leaders to mitigate risks to stakeholders around health and privacy matters.
  3. Participate in cross-functional initiatives and projects, such as impact assessments related to new legislation, new service offerings, new products, or entering new markets.
  4. Oversee regulatory laws and risks.
  5. Structuring, drafting, and negotiating commercial agreements, including licenses, terms & conditions, service agreements, partnership agreements, and representative agreements.
  6. Working directly with the COO, business development, product, and marketing teams.
  7. Provide regulatory legal advice, guidance, and support for strategic transactions based on knowledge of best practices and legal principles.
  8. Plan, prepare, and review regulatory documentation and ensure suitability for submission to regulatory agencies.
  9. Carrying out negotiations with strategic partners and clients.
  10. Managing external counsel and corporate services providers.
  11. Act as a subject matter expert on contract review, strategic transactions, and monitoring legal, regulatory, and market developments.
  12. Provide strategic legal advice to support the company's day-to-day operations.

Requirements

  • LLB or JD and be a member in good standing with the Law Society of Ontario.
  • Training from a recognized Canadian legal firm.
  • Experience in and good understanding of corporate and contract law, IP, healthcare, and regulatory.
  • Ability to proactively identify legal and reputational risks and propose solutions.
  • Experience with M&A is a bonus.
  • Comfortable working on complex legal matters.
  • Excellent verbal and written communication skills, including the ability to translate complex regulatory standards or legal concepts.
  • Excellent organizational and time management skills required to handle competing priorities and deadlines.
  • Excellent interpersonal skills with influence and conflict resolution ability.
  • US legal experience an asset.
