Job Summary

We are seeking a highly skilled and experienced Senior Legal Advisor to join our team. As a key member of our legal department, you will play a critical role in providing legal support and guidance to our clients and internal stakeholders.

Key Responsibilities

  • Private Fund Offerings
    • Draft and review all private fund offering materials, including partnership agreements, non-disclosure agreements, and other relevant documentation.
  • Regulatory Filings
    • Assist with regulatory filings and ensure compliance with relevant laws and regulations.
  • Contract Negotiation
    • Draft and review various contracts, non-disclosure agreements, and other legal documentation.
  • Counsel Management
    • Negotiate directly with fund managers and distribution agents.
    • Manage outside counsel and ensure effective communication with internal stakeholders.
  • Client Support
    • Work with internal and external clients across Canada and the US.

Requirements

  • JD from Top Law School
    • Excellent academic credentials and GPA.
  • Bar Membership
    • Member of the Ontario Bar.
  • Experience
    • 3+ years of legal experience within the investment management space advising Canadian investment fund managers, portfolio managers, and exempt market dealers on fund formation and related matters.
  • Skills
    • In-depth knowledge of Canadian securities laws, including registrant and investment fund regulation, and other regulatory frameworks relevant to the investment management industry.
    • Experience drafting and negotiating fund documents, side letters, placement agreements, and related fund materials.
    • Strong team player with excellent communication skills.
