About the Role:
We are seeking a highly skilled Corporate Paralegal to join our team at OTIP RAEO. As a key member of our legal department, you will play a critical role in managing legal issues and minimizing risk exposures for our organization.
Key Responsibilities:
- Review and analyze contracts, agreements, and other legal documents to ensure compliance with regulatory requirements and minimize legal risk.
- Provide expert advice to business leaders on legal matters, including contract law, corporate governance, and risk management.
- Develop and maintain corporate records, including minute books, resolutions, and by-laws, to ensure accuracy and compliance with regulatory requirements.
- Collaborate with external counsel to manage legal reviews, contract repository, and external counsel review process.
- Identify and assess legal risks, and develop strategies to mitigate and resolve legal issues.
- Stay up-to-date with changes in laws, regulations, and policies affecting our business, and provide guidance to stakeholders on compliance.
- Develop and implement process improvements to enhance efficiency and effectiveness in legal reviews and contract management.
Requirements:
- Licensed paralegal with five years' experience in contract and corporate law, preferably in an insurance or financial institution.
- Exceptional communication and interpersonal skills, with the ability to work effectively with all levels of internal and external stakeholders.
- Strong understanding of legal terminology, contract law, and federal and provincial statutes and procedures relevant to areas of practice.
- Excellent time management, organization, and decision-making skills to prioritize tasks based on business need, risk, and impact.
- Ability to work independently and as part of a team, with minimal supervision and high attention to detail.
- Proficiency in MS Office applications, legal software, and tools for document management.
- Ability to communicate in French (verbal and written) is considered an asset.
