Job Description

We are seeking an associate lawyer with 2-5 years of experience in corporate and commercial law. The ideal candidate will have a strong understanding of the Alberta Business Corporations Act and the Canada Business Corporations Act, particularly insofar as corporate records compliance and corporate governance. The successful candidate will also have the ability to quickly grasp supporting software tools and standardized processes.

Key Responsibilities
  • Support corporate transactions, including non-arm's length corporate reorganizations, mergers, acquisitions, and divestitures.
  • Support commercial real estate transactions, including legal due diligence and the drafting and negotiation of letters of intent, non-disclosure agreements, purchase and sale agreements, commercial leases, mortgages, easements, and other related legal documents.
  • Draft and advise on a broad range of commercial agreements, including service and supply, distribution, licensing, manufacturing, and construction.
  • Work with a member in good standing of the Law Society of Alberta.
