OPPORTUNITY

Fengate Asset Management is seeking a highly skilled Corporate Law Clerk to join our Oakville Office. The successful candidate will work closely with a team of lawyers and senior corporate law clerks on a broad range of corporate, commercial, legal and compliance matters.

KEY RESPONSIBILITIES

Corporate Support

  • Entity formation, registration and organization in Ontario, including Corporations, General Partnerships, and Limited Partnerships.
  • Prepare and file documents to dissolve Corporations, cancel Limited Partnerships, Partnerships, extra-provincial registrations and business name registrations.
  • Amalgamation and share issuance, transfer and redemption.
  • Director and officer changes, and annual resolutions and proceedings.
  • Federal and Ontario annual returns, and business name, Partnership and Limited Partnership registration renewals.
  • Liaise with agents for service in various provinces, and prepare and file Delaware Annual Franchise Tax Reports and U.S. Annual Reports.
  • Maintain corporate database Athennian, and extract information and file notices using OnCorp and Ontario Business Registry.
  • Conduct due diligence and minute book reviews, and respond to inquiries from internal and external parties.
  • Prepare Certificates of Incumbency, and research corporate law matters.

Administrative Support:

  • General administrative duties, including drafting correspondence, filing, and monitoring the legal department mail.

Ontario Securities Commission (OSC) and National Registration Database (NRD) Filings:

  • Submit applications, notices and other registration information to the securities regulatory authorities through OSC and NRD.

Requirements

KEY QUALIFICATIONS

  • Paralegal or Law Clerk diploma, or equivalent education or work experience.
  • ILCO membership in good standing with the Institute of Law Clerks of Ontario would be an asset.
  • 5+ years of experience in corporate law in a law firm or in-house.
