Job Summary

The Senior Mergers and Acquisitions Attorney will support the General Counsel and senior business leaders in all aspects of acquisitions, divestitures, joint ventures, and other transactions. This role requires conducting due diligence, drafting and reviewing legal documents, coordinating with internal and external stakeholders, and ensuring compliance with legal and regulatory requirements.

Key Responsibilities

  • Lead complex transaction documents in connection with acquisitions, divestitures, and other agreements.
  • Oversee outside counsel efforts in connection with acquisitions, divestitures, and other business combinations.
  • Perform and monitor internal due diligence efforts to evaluate business and transaction risks.
  • Conduct legal, regulatory, and business-related research.
  • Provide general counseling to senior management on acquisition and business strategies.
  • Participate in special projects where the experience, ability, or expertise of the attorney merits involvement.
  • Adhere to internal standards, policies, and procedures.
  • Provide general direction and manage subordinate staff in the day-to-day performance of their jobs.

Requirements

Education and Experience

  • Juris Doctor degree from an accredited law school.
  • 5-7 years' experience as a practicing M&A attorney, preferably with both private practice and in-house experience in the U.S. and Canadian jurisdictions.

Licenses/Certifications

  • Member of the New Jersey State Bar or eligible for the NJ in-house counsel license.

Knowledge/Skills/Abilities

  • Ability to manage and coordinate multiple projects in a fast-paced environment.
  • Analytical, problem-solving, interpersonal, negotiation, and legal reasoning skills.
  • Ability to work effectively and efficiently with others and coordinate internal and external activities having legal significance to the Company.
  • Ability to manage issues and workload independently with minimal supervision.
  • Proven time management skills and a strong attention to detail.
  • Works well under pressure.

Computer Skills

  • Microsoft Office - Intermediate skills.
