Pivotree, a leader in the digital commerce space, is seeking a skilled Senior Commercial Agreement Specialist to join our team.

Salary: $100,000 - $120,000 per year.

Job Description

We are looking for a highly experienced Contract Manager to assist with the day-to-day management of commercial agreements and play a key role in building out our legal function.

The ideal candidate will have 2-5 years of experience in contract management, particularly within the technology sector, and possess excellent academic credentials.

Duties include:

  • Drafting, reviewing, and negotiating corporate/commercial agreements and related documents;
  • Developing, drafting, revising, administering, implementing, and interpreting standard contracting policies, procedures, and programs;
  • Providing business acumen to design long-term contractual arrangements and deal structures;
  • Assisting with RFPs and procurement efforts;
  • Providing legal advice on privacy compliance requirements and opportunities for improvement of privacy policies;
  • Assisting with legal due diligence from a corporate/commercial perspective on prospective acquisition targets and managing the integration of corporate/commercial systems/processes post-acquisition;
  • Supporting the continuous improvement of legal and business processes to promote efficiency;
  • Providing internal training sessions across different functional areas on legal and compliance issues and updates to relevant legislation and regulations;

Required Skills and Qualifications

To be successful in this role, you will need:

  • Excellent analytical, legal drafting, oral, and written communication skills;
  • A proven ability to negotiate and draft complex contracts, including MSAs, software licenses, service agreements, and partnership contracts;
  • Demonstrated understanding of the complexities involved in software licensing and service agreements, including SaaS, maintenance, and support contracts;
  • Experience in IP, privacy, securities, and/or compliance practice an asset;
  • Ability to work independently and with cross-functional teams;
  • Ability to manage multiple contracts simultaneously while meeting deadlines and maintaining high-quality standards;
  • Exceptional analytical skills with the ability to dig into an issue or problem with minimal supervision;
  • Outstanding communication skills (both written and verbal);
  • Highly responsible with a strong sense of ownership and commitment to deadlines;
  • Detail-oriented with high work quality and ethics;
  • Flexible team player – highly adaptable and comfortable with change;
  • Curiosity – you are not content with status quo – you are comfortable in recommending improvements to any and all processes company-wide;
