Pivotree is a dynamic legal team that collaborates closely with customers in the B2B and B2C digital commerce space. Reporting directly to the Director of Legal, this Senior Commercial Contract Specialist will assist with the day-to-day management of commercial agreements and play a crucial role in building out the legal function.

Job Description

This exciting opportunity is perfect for a mid-level contract specialist looking to build strong expertise in commercial agreements related to services and products within the technology sector. The position involves a collaborative, team-based approach to corporate legal services.

Main Responsibilities:
  • Draft, review, and negotiate a broad range of corporate/commercial agreements and related documents, including client (managed and professional services), channel partnership, reseller, vendor, non-disclosure, license, privacy, and security agreements.
  • Develop, draft, revise, administer, implement, and interpret the company's standard contracting policies, procedures, and programs.
  • Provide business acumen to the design of long-term contractual arrangements and deal structures.
  • Assist with Requests for Proposals (RFPs) and procurement efforts.
  • Provide legal advice regarding privacy compliance requirements in countries where Pivotree operates, and opportunities for improvement of privacy policies.
  • Assist with legal due diligence from a corporate/commercial perspective on prospective acquisition targets and help manage the integration of corporate/commercial systems/processes post-acquisition.
  • Support the continuous improvement of legal and business processes to promote efficiency.
  • Assist in providing internal training sessions across different functional areas on legal and compliance issues and updates to relevant legislation and regulations.
Requirements:
  • Excellent academic credentials.
  • 2-5 years of experience in contract management, particularly within the technology sector.
  • Proven ability to negotiate and draft complex contracts, including Master Services Agreements (MSAs), software licenses, service agreements, and partnership contracts.
  • Demonstrated understanding of the complexities involved in software licensing and service agreements, including Software as a Service (SaaS), maintenance, and support contracts.
  • Excellent analytical, legal drafting, oral, and written communication skills.
  • Experience in Intellectual Property (IP), privacy, securities, and/or compliance practice is an asset.
  • Ability to work independently and with cross-functional teams.
  • Ability to manage multiple contracts simultaneously while meeting deadlines and maintaining high-quality standards.
  • Exceptional analytical skills with the ability to dig into an issue or problem with minimal supervision.
  • Outstanding communication skills (both written and verbal).
  • Highly responsible with a strong sense of ownership and commitment to deadlines.
  • Detail-oriented with high work quality and ethics.
  • Flexible team player – highly adaptable and comfortable with change.
  • Curiosity – you are not content with status quo – you are comfortable in recommending improvements to any and all processes company-wide.
