Are you a Legal Professional with both in-house and private practice expertise, focusing on corporate and commercial law? If you are driven to address genuine challenges for individuals and businesses, you may find this opportunity appealing.

We are seeking a seasoned Chief Legal Officer with a proven history of negotiating commercial agreements and government contracts, as well as providing counsel on mergers and acquisitions.

Initial Expectations (1-3 months): As you acclimate to the company's culture and operational tempo, you will: assess business and legal risks; spearhead our compliance and ethics initiatives; conduct relevant training, investigations, and offer legal guidance across all organizational levels.

Mid-Term Expectations (3-6 months): After identifying business and legal risks, you will oversee all legal affairs for Sheertex, delivering counsel and advice to mitigate potential risks as necessary.

Key Responsibilities:

  • Evaluate existing business processes to ensure adherence to applicable laws while minimizing potential risks;
  • Play an active role in the creation, execution, maintenance, and organization of internal policies and compliance programs;
  • Oversee intellectual property, copyrights, and trade secrets while managing a global network;
  • Draft, review, negotiate, and provide advice on contracts and contractor agreements;
  • Identify, analyze, research, and resolve legal and business issues in proposed contracts, making recommendations to the business and internal stakeholders;
  • Support the executive team in capital raising initiatives;
  • Monitor pending and emerging legislation and regulations, advising business teams on regulatory changes;
  • Manage ongoing reporting and compliance activities related to incorporated entities, ensuring the adequacy of insurance policies and other compliance matters;
  • Participate in executive-level meetings concerning company direction, mergers, acquisitions, and policy modifications;
  • Align corporate structure following mergers, liquidations, and dissolutions, advising management on legal matters related to operations and commercial transactions;
  • Develop strategies and lead preparations for legal proceedings, arbitrations, mediations, and hearings.

Qualifications:

  • Member of the Quebec Bar with 8+ years of experience in a law firm and/or as in-house counsel, ideally within a startup, e-commerce, or manufacturing context;
  • Fluently bilingual in English and French;
  • Extensive corporate commercial transactional experience in a dynamic environment;
  • Strong leadership capabilities and experience in scaling legal teams;
  • Ability to provide precise legal guidance to executive leadership;
  • Innovative problem solver with creative approaches to in-house legal management;
  • Strong negotiation skills with the ability to communicate effectively with both legal and non-legal business leaders;
  • Performance-oriented and thrives in a fast-paced startup culture;
  • Exceptional problem-solving abilities with a strategic perspective.
