Job Title: Director Chief Legal Advisor

Job Summary:

We are seeking a highly skilled and experienced Director Chief Legal Advisor to join our team at National Bank. As a key member of our Legal Affairs - Governance (Corporate Secretary's Office) team, you will play a critical role in providing expert advice and guidance on corporate governance and subsidiary governance matters.

Key Responsibilities:

  • Act as a recognized expert in subsidiary governance and provide guidance on corporate governance matters.
  • Legally manage the Bank's subsidiary organizational chart and ensure compliance with relevant laws and regulations.
  • Support subsidiary boards of directors by providing advice and recommendations on various issues.
  • Coordinate the filing of corporate and regulatory reports and ensure timely submission.
  • Participate in projects such as corporate reorganizations, annual shareholders' meetings, and the implementation of new guidelines and regulations.
  • Ensure the advancement and integration of best practices in governance within the subsidiaries.
  • Provide legal advice and intervene in strategic matters impacting the activities and operations of the Bank and its subsidiaries.

Requirements:

  • Bachelor's degree in law and a minimum of 10-15 years of experience.
  • Member of the Barreau du Québec or the Chambre des notaires du Québec.
  • Good knowledge of corporate law and governance.
  • Team spirit and interpersonal skills.
  • Diligence and attention to detail.
  • Practical and pragmatic.
  • Ability to multitask.
