Job Title: Corporate Legal Counsel

Avenue Living Asset Management, Ltd. is seeking a highly skilled Corporate Legal Counsel to join our team. As a key member of our legal department, you will play a critical role in providing legal support for our regular capital raising and borrowing activities, ensuring compliance with applicable securities laws and regulatory requirements.

Key Responsibilities:
  • Provide legal support for capital raising and borrowing activities, ensuring compliance with securities laws and regulatory requirements.
  • Support the real estate legal team with financing and refinancing activities.
  • Advise on legal issues related to credit and other financing agreements.
  • Draft, review, and negotiate sophisticated contracts and commercial arrangements.
  • Structure various legal entities, including corporations, trusts, limited partnerships, and joint ventures.
  • Prepare and review governance and disclosure documents.
  • Handle corporate and intercorporate arrangements, including asset acquisitions and divestitures.
Requirements:
  • Active status with the Law Society of Alberta.
  • Two to four years of corporate and/or securities law experience.
  • Excellent contract drafting, reviewing, and negotiating skills.
  • Familiarity with the formation and maintenance requirements for various legal structures.
  • Experience with banking and credit arrangements is an asset.
  • Excellent communication and drafting skills.
  • Demonstrated business acumen with a practical application of law to advise on risk within the context of broader business goals.
