About the Role

We are seeking a highly skilled and experienced Corporate Counsel to join our team at Doman Building Materials Group Ltd. As a key member of our legal department, you will play a critical role in providing legal advice and guidance on corporate governance, compliance, and securities law matters.

Key Responsibilities
  • Corporate Governance: Provide legal advice on corporate governance matters, including board of directors' meetings, shareholder meetings, and annual general meetings.
  • Compliance: Ensure compliance with all relevant laws and regulations, including securities laws, employment laws, and health and safety laws.
  • Securities Law: Provide advice on securities law matters, including securities filings, proxy materials, and quarterly financial filings.
  • Acquisitions and Financings: Assist with negotiations and documentation of acquisitions and financings, including due diligence and closings.
  • Commercial Agreements: Draft and review commercial agreements for various business departments.
  • Research and Litigation: Conduct research on legal issues and risks, and manage litigation matters as needed.
Requirements
  • Education: Law degree from a recognized institution.
  • Experience: 3 to 6 years of experience in corporate commercial and/or securities practice.
  • Skills: Strong understanding of public company legal requirements, excellent drafting skills, and strong communication skills.
  • Knowledge: Member in good standing of provincial bar, undergraduate degree in business is an asset.
