Position Overview

Reporting directly to the Chief Executive Officer, the Corporate Legal Advisor will serve as both a business and legal partner to the executive leadership team. This role entails evaluating and refining our comprehensive legal framework while ensuring compliance with various laws and regulations.

The Corporate Legal Advisor will play a pivotal role in the formulation and implementation of our legal documents, contracts, and corporate records. The incumbent will bring insight and enthusiasm to the creation and execution of contracts and legal agreements. This position will provide in-house expertise and support across all legal aspects of the organization, significantly contributing to corporate partnerships, mergers, and acquisitions.

The ideal candidate will demonstrate a proven ability to implement high-level, results-driven legal strategies that bolster and enhance current operations while considering the long-term implications of legal and contractual decisions on overall performance and risk management. A proactive approach to developing and maintaining efficient and effective legal documents in collaboration with other senior leaders is essential. Viewing legal as a partner to other business functions will enable alignment with business objectives and performance targets. The Corporate Legal Advisor will manage some tasks independently while coordinating with external firms for additional projects.

Balancing immediate and long-term priorities is crucial to supporting the organization's health. The candidate should possess a robust skill set in legal management, a thirst for knowledge, and the ambition to grow alongside the organization. Key Responsibilities

Board Engagement

  • Provide valuable insights to management to facilitate informed business decisions, monitor progress, and evaluate performance.
  • Participate in board meetings, oversee the preparation of meeting minutes for the Board and its committees, and track action items and work plans.
  • Deliver timely legal updates to the Board, highlighting significant business risks.
  • Assist in assembling comprehensive packages and information for the Board of Directors.

Legal Framework Development

  • Lead the establishment of the company's legal framework through a collaborative approach with all stakeholders, balancing business risks with contractual obligations.
  • Conduct ongoing reviews of standard legal documentation and implement updates to support business growth and entry into new markets.
  • Ensure that business agreements are thoroughly documented and accurately captured; draft, review, and negotiate contracts with customers, suppliers, and third parties, including rental agreements, leases, NDAs, and M&A documents.
  • Support the organization in transaction-related activities, including the acquisition of portfolio accounts and new business lines, as well as larger-scale acquisition efforts, including financial due diligence.

Senior Management Team Member

  • Act as a legal partner to the executive team, supporting operations, business development, sales, and corporate functions.
  • Evaluate and enhance business strategies and oversee their implementation.
  • Provide recommendations for procedural and structural enhancements.
  • Ensure the smooth operation of the company through legal support provided by both the Corporate Legal Advisor and external legal firms.
  • Be accountable for initiating prompt action when faced with urgent challenges or issues, mitigating potential risks, and keeping the Leadership Team informed.
Qualifications and Skills
  • JD/LLB and a member in good standing of the Ontario Law Society, with the ability to work in Canada on a permanent basis.
  • A minimum of 7 years of professional experience.
  • Experience across various industries and organizations, with the capacity to quickly understand new concepts, office cultures, and systems.
  • Familiarity with the Consumer Protection Act.
  • Ability to present complex information clearly and concisely.
  • Strong analytical skills to assess complex issues, diagnose multi-dimensional problems, and propose appropriate solutions.
  • Dynamic and entrepreneurial spirit, combined with practical corporate controls and processes, a passion for growth, and the ability to thrive in a fast-paced environment.
  • A personal contributor with a strong desire and energy to take initiative and drive results.
  • Excellent communication skills, both written and verbal, with the ability to articulate thoughts, ideas, and vision compellingly.
