About the Role:

Cozen O'Connor is seeking a highly skilled and experienced attorney to join our Canadian capital markets and securities practice. As a mid-level associate attorney, you will have the opportunity to work with a diverse range of clients, including businesses, investment banks, private equity firms, and governmental entities.

Key Responsibilities:

  • Drafting prospectuses, filing statements, information circulars, and agency/underwriting agreements
  • Providing proactive support to clients under tight time constraints
  • Applying securities laws and exchange rules to daily client needs
  • Assisting with public offerings, mergers and acquisitions, reverse takeovers, corporate restructurings, and reorganizations
  • Preparing documentation for related transactions
  • Serving as a trusted adviser to boards and special committees on corporate governance, compliance, and reporting obligations

Requirements:

  • 3-7 years of experience in capital markets and securities law
  • Strong drafting and technical skills
  • Ontario Bar membership (memberships in other Canadian jurisdictions an asset)
  • Recent deal sheet and resume
