Given the urgent nature of this role, candidates must be adaptable to work additional or varied hours as necessary.

Reporting directly to the General Counsel of Sinai Health, with a secondary reporting relationship to the President & CEO, the incumbent will oversee all governance-related activities for Sinai Health, including support for the Board of Directors and various Board committees and subcommittees.

In collaboration with the General Counsel, the incumbent will assist in ensuring that the Board of Directors adheres to all stipulations outlined in the Hospital By-Laws and Board policies.

The Corporate Governance Coordinator will facilitate compliance with relevant legislation regarding corporate filings and record retention, including the maintenance of corporate minutes.

The incumbent will effectively cultivate relationships with key stakeholders, including the President & CEO, the Board Chair, Board members, Sinai Health's senior management team, as well as government and other essential parties.

The Corporate Governance Coordinator will consistently exhibit the highest levels of professionalism, discretion, and sound judgment.

They will also engage in collaboration and share best practices with colleagues at Circle of Care and the Sinai Health Foundation, serving as an ambassador for Sinai Health and fostering trust and confidence.

The role also encompasses providing administrative support for Sinai Health's legal department as required, including file management.

The Corporate Governance Coordinator will deliver exceptional client service, with meticulous attention to detail while navigating a fast-paced, challenging environment and regularly managing multiple time-sensitive tasks concurrently.

Serve as the primary administrator of corporate governance activities and related board-level committees, ensuring the efficient daily operations of the Governance office.

Manage the logistics and scheduling of all Board and Board Committee meetings, including the preparation and distribution of comprehensive minutes, agendas, and work plans.

Provide senior-level administrative support for the General Counsel and the Legal portfolio at Sinai Health.
Coordinate the creation, implementation, standardization, and refinement of all applicable operational and administrative processes.
Maintain records of Officers/Directors, Terms in Office, etc.
Conduct annual Board and Board committee survey processes and prepare a summary of the results.
Maintain corporate registers and minute books.

Stay informed of and implement appropriate and up-to-date technological systems to ensure the most effective and efficient operation of the corporate governance office.

Support related special initiatives and events, often in collaboration with the Sinai Health Foundation (e.g. Successful completion of a bachelor's degree in a relevant discipline from a recognized educational institution.

A minimum of 5 years of recent and relevant experience, with a solid understanding of good governance principles and procedures.

Applicants with proven equivalent recent and related training and experience may be considered.
Experience with contract management and maintaining a filing system.
Certificate or course completed in governance, project management, or legal administration is an asset.

Demonstrated proficiency in drafting and editing high-quality and concise written communications; Advanced computer skills; proficient in using Microsoft Outlook, Word, Excel, PowerPoint, Adobe, and Zoom.

Proven project management experience, with strong analytical skills.
Familiarity with the Not-for-Profit Corporations Act (Ontario) is an asset.
Exceptional organizational and time management skills, with a proven ability to prioritize and address competing demands.
Demonstrated satisfactory work performance and attendance history.
