Your Role at Baxter

As a Senior Paralegal, you will play a critical role in supporting the Director of Legal (Canada) and other partners in researching law, investigating facts, and preparing documents. You will resolve various issues and accomplish projects while seeking attorney review and approval. Your responsibilities will include drafting, reviewing, and negotiating contracts, as well as responding to and resolving contract compliance-related inquiries and routine legal questions.

Key Responsibilities
  • Assist in resolving routine legal issues raised by other parties to agreements, including product purchase and provincial health authorities, supply, clinical/research study, confidentiality, professional services, software licensing, consumer marketing, manufacturing, purchasing, and supplier management.
  • Support the Director of Legal (Canada) with day-to-day workload, including advising on a wide range of legal issues and commercial activities.
  • Participate in special projects as needed.
  • Work with the contracts team to ensure that contracts meet Baxter's legal standards.
  • Work independently on a wide variety of contracts related to the various Baxter business units in Canada.
  • Interact with internal clients and external parties using discretion and independent judgment on contracts and other issues.
  • Develop and update templates used by Baxter for routine agreements.
  • Perform internet-based research on a wide range of legal issues in areas such as corporate law, intellectual property, privacy, procurement, ethics, and compliance.
Requirements
  • Paralegal or Law Clerk diploma - Licensed Paralegal.
  • Minimum 10 years of experience drafting, reviewing, and negotiating a variety of general business contracts and legal correspondence.
  • 10+ years of experience working as a paralegal or law clerk in a corporate law environment.
  • Experience and/or education in the healthcare industry, including privacy, competition law.
  • Experience working with French - fluency in French an asset.
  • Proficient in legal research and thorough knowledge of legal resources and databases.
  • Excellent oral/written communication, organization/analytical, and interpersonal skills.
  • Strong software database and internet search skills and project management abilities.
  • Ability to multi-task, effectively prioritize, collect and analyze information, and meet deadlines in a timely manner.
  • Be a self-starter with the ability to take initiative to drive projects to completion, including handling follow-up matters; gathering information; collating, summarizing, and organizing information; and be able to work with minimal supervision.
  • Attention to detail.
  • Ability to collaborate and work with all types of individuals at all levels, internal and external, including attorneys, paralegals, business contacts, and third-party attorneys.
