Position Overview:

As a Lead Counsel specializing in Capital Markets, you will provide comprehensive legal guidance and support to the Bank of Montreal's dynamic capital markets division, which operates within a complex trading and regulatory landscape.

Key Responsibilities:

  • Collaborate closely with the BMO Legal Team and business units to negotiate and finalize documentation governing over-the-counter (OTC) derivatives, including International Swaps and Derivatives Association (ISDA) agreements.
  • Engage with the BMO Legal Team on capital markets initiatives and derivative-related policies.
  • Offer legal insights based on a solid understanding of legal principles, practices, and the financial services sector.
  • Influence and negotiate effectively to meet business objectives while mitigating legal risks.
  • Align legal strategies with organizational goals.

Additional Responsibilities:

  • Provide legal counsel, oversee external legal advisors, and ensure adherence to internal policies.
  • Draft and negotiate documentation related to derivatives, including trade confirmations, confidentiality agreements, and collateral agreements.
  • Contribute to the development of legal strategies for capital markets activities, aiming to minimize legal challenges and enhance operational efficiency.
  • Serve as a primary subject matter expert for senior leadership and stakeholders on relevant laws and regulations.
  • Identify and resolve complex legal matters with discretion and sound judgment.
  • Advise senior management on strategic initiatives based on a thorough understanding of the business environment.
  • Address daily operational issues and provide analytical recommendations.
  • Implement improvements to align with industry standards.
  • Work across geographical boundaries, including Canada and the U.S.
  • Utilize expertise to navigate unique challenges and propose innovative solutions.

Qualifications:

  • A minimum of 7 years of legal experience or an equivalent combination of education and experience.
  • Expertise in drafting and negotiating OTC derivatives documentation.
  • Law degree (LLB or JD) and a valid license to practice in the relevant jurisdiction.
  • Strong knowledge of the regulatory landscape affecting the financial services industry.
  • Exceptional organizational skills with the ability to manage multiple priorities.
  • Advanced negotiation, communication, analytical, and problem-solving skills.
  • Ability to influence and collaborate effectively across teams.
  • Results-driven and self-motivated with a commitment to excellence.
  • Bilingual in English and French is an asset.
