About the Role

We are seeking a highly skilled and experienced Senior Legal Counsel to join our team at Neoen in Canada. As a key member of our legal department, you will play a critical role in supporting the development and implementation of our projects primarily in Canada and occasionally in other jurisdictions in the Americas.

Key Responsibilities
  1. Business Development
  • Participate in public or private auction processes for benefit of support schemes, such as long-term mandatory off-take or green certificates regimes;
  • Acquire interests in portfolio of development assets, including partial acquisitions and arrangements for co-development of projects (MoUs, JVs).
Project Development Phase and Industrial Structuring
  • Participate in the negotiation of main project agreements, including real estate contracts, power purchase agreements, grid connection agreements, EPC and O&M contracts, and development and management agreements;
  • Project corporate structuring, including SPV and holding, shareholders' agreements, and assistance to development teams in applications for environmental and building permits, and licenses required under local electricity/utility regulations;
  • Negotiate and structure indigenous partnerships.
Project Financing Phase
  • Address issues raised by lenders' counsel from project due diligence;
  • Participate in the negotiation of finance documents, including term sheets, facility agreements, intercreditor agreements, security documents, and all ancillary documentation, and involvement in preparation of closings in close coordination with external legal counsel and internal project team.
Construction and Operations Phase
  • General contract management, including amendments, waivers, variation orders, claims management, extension of time, and liquidated damages;
  • Management of specific events, such as accidents, force majeure, or weather-related events, permitting and licensing change management.
Dispute Management
  • Management and assistance with local counsel on all disputes affecting Neoen's activities, including claims management, local litigation, arbitration, and any other type of dispute resolution.
Corporate
  • Incorporate operational/development companies, holding companies, and special purpose vehicles;
  • Ensure compliance with applicable company law and Neoen corporate governance rules, and respond to queries from various teams.

Requirements

  • Canadian-qualified legal counsel with proven experience in the development, financing, public or private energy auctions, construction, and operation of large infrastructure projects, preferably in the power generation sector and ideally in renewable energies;
  • Strong knowledge of project finance, contract management, and dispute resolution;
  • Excellent communication and negotiation skills, with ability to work effectively with internal and external stakeholders;
  • Ability to work in a fast-paced environment and prioritize multiple tasks and deadlines.
